TERMS OF SERVICE - Preventive Maintenance
Service is provided by VIVID IMAGING. Buyer, hereby Client, is the billing party, company and/or individual responsible for payment and/or the individual completing this form. Client is responsible for payment. VIVID IMAGING may use information captured during this completion of this form such as Static IP Address to identify the individual ordering service. The individual placing the service order represents that they are the authorized representative to place the service order for their company or individual listed on this form. In the event of failure to collect fees for services rendered, the individual placing this order accepts responsibility for payment.
Only equipment listed on this form shall be inspected. Client may cancel service thirty (30) days in advance without penalty if VIVID IMAGING has not already scheduled a PM date. No refund will be issued for cancellations less than thirty (30) days from date of service order. Client is responsible for making equipment available during scheduled inspection time/date. Client must provide a cell# or have a staff member available to make parts purchase decisions while inspection is in process. Where applicable, no parts will be added that exceed the allowance without authorization from the client. Maintenance Inspection includes: Labor, Travel and where applicable, $200.00 parts credit. Nemoto, Dual Shot A, preventive maintenance inspection includes; travel and labor only. Swiss Medical Care, CT Expres III preventive maintenance inspection includes travel, labor and all preventive maintenance parts and software updates, if any. Parking Fees, if any, are not included in this fee. Fee is due when service is rendered. Quotation valid thirty (30) days from date issued. Payment is due when service is rendered. Client shall be liable for late fees of 1.5% monthly and collection costs. Any dispute arising from this service is subject to the laws, jurisdiction and venue of Clark County in the State of Nevada.
No refunds or returns for product or services. Any applicable use taxes will be added to the prices, unless VIVID IMAGING receives tax exemption certificate from state delivery will occur.
Silence or inaction by VIVID IMAGING does not constitute a waiver of the conditions and covenants of this Agreement. A waiver by VIVID IMAGING of any noncompliance of any provision of this Agreement shall not be construed as a continuing waiver by VIVID IMAGING of other noncompliance or other provisions of this Agreement.
Client’s obligation to pay VIVID IMAGING survives reorganization, merger or acquisition and transfers to its assignees and successors. All referenced documents are incorporated in this Agreement, whether or not documents are attached. Any portion of this Agreement found to be invalid by a court of competent jurisdiction shall not be cause for the cancellation or invalidation of the remaining clauses of this Agreement.
Parts and or components may be returned only if defective or damaged during shipment if VIVID IMAGING is notified within twenty-four (24) hours of receipt and client receives a Return Authorization Number from VIVID IMAGING. Product must be returned to VIVID IMAGING within three (3)) business days after receipt of Return Authorization Number. No refunds or returns if product is not defective or damaged during shipment. No returns for Clients that lease the product (contrast injector).
Vivid Imaging Coil Repair Warranty Terms
Coil repairs will consist of evaluating, repairing and testing the electronic and mechanical functions of the coil (antenna(e)) to ensure the coil operates as intended by the original manufacturer. We will use commercially reasonable efforts to repair housing cracks, repair unintended holes and re-paint coils. The repair does not include reproduction of the exterior texture, replacement of functional cables, functional hardware, pads, Repairs include replacement of vinyl/cloth covers with similar material (if possible) and re-sealing flexible coil foam coatings but there is no warranty expressed or implied regarding its ability to repel liquids.
Coil repairs are warranted that it functions and interfaces properly with the MRI system for ninety (90) days from the date of repair. VI is not liable for damage, loss or delays caused by shipping company. Since MRI system’s performance varies from one system to another, we cannot warrant any particular manufacturer’s specification. If the MRI system is not properly maintained or up to current specification in the signal-to-noise (“SNR”) performance, the coil will not pass an SNR test since the coil is only one component of the receiver chain. Thus, we do not warrant repair defects related to unmaintained or defective MRI systems. Our warranty is void if a repair has been performed by the client (operator) or third-parties. We warrant that the coils will be tuned to the proper operating frequency, loaded to the proper output impedance, and provide the coil’s originally designed decoupling from the transmit body coil (for receive-only coils) operate at the designs’ desired effectiveness. Coil design performance varies during reception as well as during decoupling from the transmit body coil; therefore, we do not warrant particular performance values on the coil repairs. The operating frequency, impedance match, and decoupling parameters are measured using system interface fixtures, simulated loading and environments in the lab. These results are documented on the repair Work Order (“WO”).
We do not warrant the repair or rebuild if the client drops the coil, abuses coil, misuses the coil, client incorrectly programs MRI system, MRI system error, lack of power surge protection, equipment maintenance system failures, acts of god, damage from shipping, any new mechanical or electrical damage beyond those documented on the original repair WO; i.e., if a new electrical problem or housing crack occurs after the original repair, then it is not covered by the warranty. We will document all mechanical and electrical defects on the repair work order and warrant the problems that were present for the original repair.
Client pays for shipping to and from the lab (we will bill for the shipping on our shipping account or Client may provide their own shipping account) . Client shall fax or e-mail a Work Authorization (“WA”) form with Purchase Order (“PO”) and shipping speed instructions before we start repairs. If the repair price increases, we are unable to repair the coil to last over 90 days or the delivery time changes, we will request a written approval to change the WA. Work will cease until client approves of the changes and faxes or e-mails the amended Work Authorization (“WA”) form with increased PO amount. A higher price will be charged for an extended warranty or a complete rebuild, if a normal repair is not feasible to last over 90 days. If the repair price increases and client decides not to approve increase, if coil is not repairable or if coils is repairable but client rejects the rebuild option, client shall still pay for the evaluation and shipping to and from the lab. A complete rebuild may have a one (1) year warranty based upon design. If client claims a repair or rebuild is defective within the 90 days warranty period, client shall contact us and request a Return Material Authorization Number (“RMA”) and ship the coil at client’s expense to the lab for evaluation. Client must answer/fill-out the Q&A checklist before we issue a Return Material Authorization (“RMA”) number. We will not accept any coil due to a warranty claim without a RMA Number. We will repair the coil if a defect is found and determined that we did not effectively repair the coil and ship back to the client at our expense. If no defect is found (also known as No Trouble Found, “NTF”) or if defect is a new defect (not the original defect which was repaired), we will request a new WA, PO and/or shipping account number from the client to repair and/or ship the coil back to the client. No further action will occur until a new WA, PO and/or shipping account number is faxed or e-mailed to us. We do not warrant and shall not be liable for the express or implied warranties or representations, actions or omissions of the manufacturer, Client, or third-party or any reliance upon them. |
